Terms of Service

Madisons provides commercial photography, video production, and — through our formal subcontracting partnership with Tech Zayan Inc. — software development and UI/UX design services. Madisons serves as your primary point of contact, project coordinator, and invoicing party for all engagements, regardless of which service line is involved.

Each project is governed by a signed Statement of Work, contract, or invoice specifying scope, deliverables, timeline, and fees. In the event of any conflict between these Terms and a signed project agreement, the signed agreement governs for that project.

You agree to provide timely feedback, approvals, content, branding materials, and any information reasonably required for us to perform the services. Delays in providing these may extend your project's delivery timeline.

All fees are quoted and payable as described in your invoice or contract and our Transaction Currency Policy. Payment is due within the term stated on your invoice unless otherwise agreed in writing.

Cancellations and refunds are governed by our Refund and Return Policy, and by the specific terms of your signed contract or Statement of Work where applicable.

Projects include the revision rounds specified in your signed agreement. Work outside the agreed scope will be treated as a change request and quoted separately before proceeding.

Ownership of, or agreed usage rights in, final approved deliverables transfers to you only upon full payment of the agreed project cost. Pre-existing tools, templates, reusable components, and licensed assets used in delivering your project remain our property (or that of our subcontracted partner) and are not assigned to you.

Software development, UI/UX design, and quality assurance work may be performed by our subcontracted partner, Tech Zayan Inc., under our supervision. Madisons remains fully responsible for project coordination, communication, and final delivery regardless of which party performs the underlying technical work.

Any personal or business information you share with us is handled in accordance with our Privacy Policy. Where your project involves our subcontracted partner, your information is shared only to the extent necessary to complete the project, as described in our Privacy Policy.

Except as expressly stated in a signed contract, our services and deliverables are provided "as is." We disclaim all other warranties, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose, to the maximum extent permitted by law.

To the maximum extent permitted by applicable law, Madisons' total liability arising out of any engagement shall not exceed the total fees paid by you for that specific project. We are not liable for indirect, incidental, or consequential damages.

You agree to indemnify and hold Madisons harmless from claims arising out of your misuse of deliverables, violation of these Terms, or infringement of third-party rights through content or materials you provide to us.

Content on our website, including text, images, and design, is the property of Madisons and may not be copied or reproduced without permission. We make reasonable efforts to keep website information accurate but do not guarantee it is error-free or current at all times.

These Terms are governed by the laws of the State of Mississippi, United States, without regard to conflict-of-law principles. Any dispute shall first be addressed through good-faith negotiation, and if unresolved, may be brought in the state or federal courts located in Mississippi.

We may update these Terms from time to time. The "Effective Date" above reflects the most recent revision. Continued use of our services after changes constitutes acceptance of the updated Terms.
